    Title: Paralegal
    Location: Richmond Hill – Head Office
    Division: Global family of companies
    Reports to: Executive Vice-President (EVP)


    Job Summary:

    The successful candidate will join a small corporate team of highly dedicated financial professionals to provide legal expertise to the Global family of companies.  You will act as the primary resource for legal matters and you will have a wide array of responsibilities.


    The Global family of companies comprises a Scholarship Plan Dealer, an Investment Fund Manager, a Mutual fund Dealer, an Investment Dealer, and a Managing General Agent.


    Core Responsibilities:

    • Prepare legal documents, including corporate resolutions;
    • Maintain corporate books and records, Management Agreements and Legal Department files;
    • Obtain historical corporate information concerning compliance, litigation, investigations, etc.;
    • Inform the CEO and the Board of Directors of significant issues in a timely manner;
    • Initiate legal tasks, both independently and as requested by the EVP/CEO or the Board of Directors;
    • Review and transmit legal correspondence, various agreements, contracts and regulatory filings;
    • Communicate with external legal counsel independently and under supervision of the CEO to ensure timely and effective legal representation;
    • Assist external legal counsel;
    • Provide advice on corporate governance matters to the Board of Directors;
    • Provide advice to senior management on corporate strategies;
    • Provide advice on contracts, regulatory matters and legal risks;
    • Actively participate in corporate projects, including mutual fund and scholarship plan regulatory document disclosures reviews and filings;
    • File public disclosure documents such as Prospectus, MRFP, Annual Reports, Annual Financials, and material change reports on SEDAR
    • Complete the required government filings such as articles, notices of change and annual returns with provincial and national registries;
    • Establish a positive working relationship with all business partners and regulators;
    • Develop and draft policies and practices for the organization;
    • Educate employees on changes in policies and practices within the organization;
    • Act as Corporate Secretary to the Boards of Directors and all Committees of the Boards;
    • Perform other related duties as required.



    • Licensed as a Paralegal. Having a LLB or other comparable degree will be an asset;
    • Minimum 3 years of experience gained at a top tier firm or corporate legal department;
    • Prior in-house legal experience is a requirement;
    • Experience filing documents on SEDAR
    • Experience working in the financial industry, corporate and securities law;
    • Bilingual French written and spoken a definite asset

    • Solid understanding of NI 31-103, NI 81-101, NI 81-102, NI 81-107 and Form 41-101F3;
    • Risk assessment capabilities;

    • Superior interpersonal, communication and presentation skills;
    • Aptitude for technological advancements as a way to improve efficiencies and effectiveness;
    • Knowledgeable on the current industry landscape and regulators;
    • Strong negotiation and drafting skills;
    • Attention to detail and analysis;
    • Thorough understanding of substantive legal concepts, court practices and procedures, legal research and documents, procedures and terminology;
    • Proven ability to manage multiple responsibilities with competing priorities and deadlines
